Standard Terms & Conditions
These Terms and Conditions govern the services provided by Intent Web (ABN: 29 918 551 355). Throughout this document, 'Intent Web', 'we', 'us', or 'our' refers to the business operating under intentweb.com.au.
"The Client", "you", or "your" refers to any individual, business, or entity engaging the services of Intent Web, as named in the accompanying Proposal, Statement of Work (SOW) or Invoice.
1. Scope of Services & Project Brief
1.1 Scope: All work requested by the Client will be detailed in a written Proposal or Statement of Work (SOW). Any work outside this scope will be deemed a "Variation" and billed at our standard hourly rate ($95/hr) or via a separate quote.
1.2 Timelines & Delays: Project timelines are estimates based on prompt client communication. Intent Web is not liable for project delays resulting from the Client’s delay in providing content, feedback, credentials, or approvals.
2. Invoicing, Payments & Payment Terms
2.1 Payment Schedule:
Deposit: A 50% non-refundable deposit is required prior to project initiation.
Milestone / Final Balance: The remaining 50% balance is due upon presentation of the staging website, prior to live launch or transfer of site ownership/files.
2.2 Payment Window: Invoices are strictly payable within 7 days of issue.
2.3 Work Stoppage: Intent Web reserves the right to suspend all active work, withhold site launch, or revoke site access if invoices remain unpaid beyond the due date.
3. Client Responsibilities & Content Delivery
3.1 Content Supply: The Client is responsible for supplying all text, images, logos, and branding assets in the required format within 7 days of project initiation.
3.2 Content Copyright: The Client guarantees that all materials provided to Intent Web are legally owned by or licensed to the Client. The Client indemnifies Intent Web against any legal claims arising from copyright or trademark infringement of client-supplied content.
4. Revisions, Feedback & Final Approval
4.1 Included Revisions: SOW include up to 2 rounds of revisions during the visual design phase and 1 round during the staging phase.
4.2 Additional Revisions: Requests for modifications beyond the included rounds or changes to previously approved scope will be charged as extra variations.
4.3 Final Sign-off: Written sign-off (via email or text) is required prior to deployment. Once live, further modifications are treated as maintenance/support.
5. Intellectual Property & Code Ownership
5.1 Ownership Transfer: Intellectual property rights to the custom web design and completed site assets transfer to the Client only upon full payment of all outstanding invoices.
5.2 Developer Rights: Intent Web retains ownership of pre-existing code, proprietary tools, design frameworks, and developer workflows.
5.3 Portfolio Credit: Intent Web reserves the right to display the completed website, design screenshots, and logo in its portfolio, case studies, and marketing materials, unless a strict non-disclosure agreement (NDA) is signed prior to project commencement.
6. Hosting, Maintenance & Third-Party Services
6.1 Hosting & Domains: If hosting/domain services are provided through Intent Web, uptime guarantees are subject to the third-party infrastructure providers (e.g., AWS, Cloudflare, ServerAvail).
6.2 Third-Party Integrations: Intent Web is not responsible for bugs, breaking changes, price increases, or service deprecation caused by third-party APIs, plugins, CMS core updates, or payment gateways (e.g., Squarespace, booking software, PayPal).
7. Limitation of Liability & Warranties
7.1 Warranty Period: A 7-day bug-fix warranty applies post-launch to resolve any defects relative to the original specification. This warranty does not cover issues caused by client edits, third-party plugin updates, or user error.
7.2 Limitation of Liability: To the maximum extent permitted by Australian Consumer Law, Intent Web shall not be liable for any indirect, consequential, special, or incidental damages, including loss of business profits, lost data, cyber-attacks, or site downtime.
7.3 Cap on Liability: Total financial liability under any claim shall not exceed the total amount paid by the Client to Intent Web for the specific project in question.
8. Termination & Cancellation
8.1 Termination by Client: Either party may terminate the agreement with written notice. If the Client terminates the project early, the initial deposit remains non-refundable, and the Client will be billed for all work completed up to the cancellation date.
8.2 Abandoned Projects: If a project stalls for more than 10 consecutive days due to lack of client communication or content delivery, Intent Web reserves the right to invoice for work completed to date and close the project. Re-opening an abandoned project may incur a restart fee.
9. Governing Law
These Terms & Conditions are governed by the laws of New South Wales, Australia.
Privacy Policy
This Privacy Policy outlines how Intent Web (ABN: 29 918 551 355, operating under intentweb.com.au) collects, uses, handles, and protects the personal and business data of the Client ("you", "your") in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
By engaging our services or providing data to us, you consent to the practices described in this policy.
1. Data Collected from the Client We collect necessary information to deliver web services, including:
Contact Details: Name, business name, phone number, email, and address.
Access Credentials: Web hosting logins, domain accounts and CMS credentials provided by the Client.
Payment Details: Intent Web issues invoices requiring payment via direct bank transfer (EFT). We do not collect, process, or store credit card details or debit card numbers on our website or servers. When you pay via bank transfer, the only payment information we receive or retain is the standard transaction data provided by our financial institution (such as your business account name, BSB, account number, payment reference, and transaction date) solely for invoicing, accounting, and tax compliance purposes.
2. Use of Client Data Data collected from the Client is used exclusively to build, maintain, and support project deliverables, communicate project status, send invoices, and fulfill legal requirements.
3. Storage & Security The Client’s technical credentials and sensitive materials are stored in secure, encrypted access management tools and are restricted strictly to authorised team members working on the project.
4. Credential Removal Upon completion of the project and full payment, the Client may request that Intent Web permanently delete all stored site logins and credentials from internal systems.
